General conditions
Basis of the contract are the currently valid "VDMA-conditions for the delivery of machines for domestic business" 
and the following ystral addition "Property Restrictions".

Chapter V "Reservation of ownership" of the VDMA Conditions of Delivery is replaced by the following determination
We shall reserve the right of ownership for the supplied goods until receipt of full payment as contractually agreed under this delivery contract. In case of noncontractual behaviour by the purchaser, especially in case of default, we shall be entitled to demand the return of the goods after having sent a reminder to the purchaser; the purchaser shall then be obliged to return the goods. When taking back the goods, respectively in case of distraint we only then withdraw from the contract if explicitely stipulated in writing. In case of distraint or any other interference by third parties the purchaser must inform us immediately in writing.
The purchaser shall be authorised to resell the goods in a proper course of business. Already now the purchaser assigns all claims arising from the resale of the goods supplied under reservation of ownership to subsequent buyers or third parties to us; irrespective of whether the goods were sold after processing or without being processed. Also after the assignment of claims the purchaser shall be authorised to collect these claims. Our authorisation for collection of receivables thereby remains untouched, however, we commit ourselves not to collect receivables on our part as long as the purchaser fulfills payment obligations as agreed upon. We demand from the purchaser to notify us of assigned claims and respective debtors and provide us with all details required for collection, also to hand over all necessary documents and to inform debtors about assignments accordingly. In case goods shall be resold together with goods of third party property it is agreed that purchaser’s claims against subsequent buyers shall be assigned to us in the amount of the delivery price agreed between us and the purchaser.
The processing or the reconstruction of the goods supplied under reservation of ownership shall always be carried out by the purchaser on our behalf. In case the goods delivered under reservation of ownership shall be processed and thereby connected with goods of third party property we acquire joint property of the new object in relation to the value of the goods supplied under reservation of ownership to all other processed objects at the time of processing. Incidentally, it is agreed that objects that develop through processing are subject to same conditions as the goods delivered under reservation of ownership aforementioned.
The purchaser shall be obliged to take out an insurance for supplied goods against theft, breakage, fire, water and all other risks under this conditional sale. We must receive notice of this. In case this will not be effected we shall be authorised to take out insurances on our part for account of the purchaser.
Reservation of ownership as well as securities entitled to us are in effect until full release of contingent liabilities (i.e. through payment by cheque) on which we agreed upon in the purchaser’s interest. We shall commit ourselves to unblock securities entitled to us in so far as their value exceeds the claims – if still unsettled - to be secured by 20%.

Delivery time/Date of delivery
The respective delivery time (date of delivery) will be indicated on our order confirmation resp. upon request.

Payment
Fir delivere inside Germany: Payment within 14 days after receipt of invoicewith 2% discount or within 30 days after receipt of invoice net without any deduction. (valid for orders with a value up to 10.000 Euro).
For delivery outside Germany, resp. for orders above 10.000 Euro, payment will be negotiated or down payment agreement.

Warranty
24 month from delivey ex works, wear and tear parts are excluded

Minimum order
Please observe the minimum order value of 50,00 Euro. We feel free to add up a margin or alternatively increase the ordering quantities in case the minimum order value is not reached.

Test and Buy
The delivery of parts may be carried out for a testing period after negotiation with ystral. (testing purose). With-in four weeks after delivery the material is handed ofver in case of good results or to be sent back to ystral (free of charge delivery).
Conditions for "Test and Buy" are the delivery conditions which can be sent to you upon request.
For accounting reasons we will issue an invoice with extended payment termswith the delivery and again issue a credit note when the equipment has been sent back to ystral.

Value added Tax
This shop is made up for commercial dealers and institutions. All prices indicated are shown without "Value Added Tax". In case of a domestic order the respective valid actual "Value Added Tax" will be added
